These Sandbox Terms (“Terms”) are a contract between you and Geach Technologies, LLC, a Tennessee limited liability company doing business as ChartVoyant (“ChartVoyant”, “we”, “us”). They govern sandbox API keys and the ChartVoyant sandbox environment, including its REST API, its MCP endpoint, and the documentation and synthetic data that come with it (together, the “Sandbox”).

Production keys are not covered by these Terms. They require a signed ChartVoyant API Use Agreement (CV-API-001). See section 17.

1. ACCEPTING THESE TERMS

You accept these Terms by clicking “Request a sandbox key” in the pop-up form on chartvoyant.com/developers, or by using a sandbox key, whichever happens first. If you do not agree, do not request or use a key.

If you accept for an organization, “you” means that organization and you personally, and section 2 applies.

2. WHO MAY USE THE SANDBOX

You must:

  • (a) be at least 18 years old;
  • (b) have authority to bind the organization you name, if you name one;
  • (c) give us true, current information (your name, email address and phone number, and your office or company if you list one);
  • (d) not be barred from receiving software or services under U.S. law (see section 19).

Each email address may hold one active sandbox key at a time. We may refuse any request without giving a reason.

3. SYNTHETIC DATA ONLY: NO REAL PATIENT OR PERSONAL INFORMATION

The Sandbox contains only synthetic, fictional patients. It is not designed or permitted to hold real information.

  • (a) You must never send, upload, enter or generate in the Sandbox any real protected health information (PHI) or any real personal information (PII) about any person. This includes real names, dates of birth, medical record numbers, addresses, phone numbers, insurance IDs, Social Security numbers, images or documents. It applies however the data arrives, including through an AI agent or MCP client connected to the Sandbox.
  • (b) No business associate agreement (BAA) covers the Sandbox. Anything entered there is not protected as PHI, and we do not act as your business associate for it.
  • (c) We may delete, quarantine or overwrite any data in the Sandbox at any time, without notice, including anything we believe may be real. We may also revoke your key.
  • (d) If real PHI or PII is entered by mistake, stop and email support@chartvoyant.com right away with your key’s last four characters and what happened.

4. NO PRODUCTION OR CLINICAL USE

The Sandbox is a development and testing environment. Do not use it, or anything it returns, for patient care, diagnosis, treatment, billing, recordkeeping, or any other real-world or production purpose. Nothing in the Sandbox is medical advice.

5. AS IS: NO UPTIME COMMITMENT, NO SUPPORT COMMITMENT

The Sandbox is free and is provided “as is” and “as available”.

  • (a) There is no uptime commitment or service level.
  • (b) We have no obligation to provide support, fixes or updates.
  • (c) We may reset, reseed, change, rate-limit or take down the Sandbox at any time, with or without notice. Do not rely on data persisting.

6. YOUR KEY

  • (a) Issuance. When your request is approved, your key is shown once, on screen. Store it immediately. We email a confirmation to the address you gave. It shows only the last four characters of the key, the expiry and the base URL, never the full key.
  • (b) Expiry. Each key expires 14 days after it is issued. You may request a new one after that, subject to these Terms.
  • (c) Lower limits. Sandbox keys run on lower rate limits and daily caps than production keys, as published on chartvoyant.com/developers. We may change those limits at any time.
  • (d) Security. Your key is your responsibility. Keep it secret. Do not publish it, share it, commit it to source control, put it in browser or mobile code, or paste it into tickets, chats or AI assistant transcripts. You are responsible for all activity under your key. If it is exposed, tell us at support@chartvoyant.com and we will revoke it.
  • (e) One person, one key. Do not share, sell, transfer or pool keys, or use another person’s key.

7. ACCEPTABLE USE

You will not, and will not help anyone else to:

  • (a) abuse, overload or disrupt the Sandbox or our other systems;
  • (b) scrape, crawl or bulk-download the Sandbox, the documentation or the synthetic data;
  • (c) run load, stress or performance tests;
  • (d) probe, scan or test the security of any ChartVoyant system without our prior written permission (if you find a vulnerability, email support@chartvoyant.com and stop there);
  • (e) reverse engineer, decompile or try to derive source code, except where the law forbids this restriction;
  • (f) share credentials or circumvent rate limits, caps, expiry, blocks or other technical limits, including by using multiple emails, phone numbers or identities;
  • (g) use the Sandbox or its synthetic data to build, train or improve a competing product or a competing dataset, or to train or fine-tune an AI model;
  • (h) misrepresent who you are, or use the Sandbox unlawfully or to send malware.

8. OUR RIGHTS TO REVOKE, BLOCK, CHANGE OR DISCONTINUE

We may, at any time, for any reason or no reason, and without notice or liability:

  • (a) suspend, revoke or refuse to renew any key;
  • (b) block an email address, email domain, phone number, IP address or network from requesting keys;
  • (c) change these Terms, the API, the documentation or the limits;
  • (d) discontinue the Sandbox in whole or in part.

9. YOUR INFORMATION (PRIVACY)

  • (a) What we collect. Your name, email address and phone number, and your office or company if you give one. When you sign up and when you use your key, we also collect your IP address (and any forwarding address), approximate location derived from it (country, region, city), browser, operating system and device type from your user agent, language preference, referring page, and a log of each API request: method, route, status, time and IP. We do not collect payment information.
  • (b) Why. To issue and manage your key. To prevent fraud, abuse and duplicate sign-ups, enforce limits and keep our systems secure. To send service emails (your key confirmation, expiry, security and breaking-change notices). To send occasional product communications about the ChartVoyant API, which you can unsubscribe from at any time. And to meet legal obligations.
  • (c) Retention. Per-request usage logs for sandbox keys are deleted after 90 days. We keep sign-up records (your name, email address, phone number, office or company, and the IP address and device information collected at sign-up) until you ask us to delete them; we do not delete them on a schedule. You may ask us to delete your sign-up record at any time by writing to support@chartvoyant.com. Even after a deletion request, we may keep the minimum information needed to keep a block or ban in place, and anything we are required to keep for legal reasons.
  • (d) We do not sell your information or use it to train AI models. More detail, and how to access, correct or delete your information, is in our Privacy Policy at https://chartvoyant.com/privacypolicy/ . If these Terms and the Privacy Policy conflict about sandbox sign-up data, these Terms control.

10. NO MARKETING TEXTS

We collect your phone number for identity, fraud prevention and account contact. We will not send you marketing or promotional text messages, or use an autodialer or prerecorded messages to call you, unless you give separate, express written consent. Agreeing to these Terms is not that consent. Any text program we offer will be governed by its own terms (see our SMS Terms at https://chartvoyant.com/sms-terms/ ) and will honor STOP.

11. INTELLECTUAL PROPERTY

  • (a) Ours. We and our licensors own the Sandbox, the API, the MCP endpoint, the documentation, the synthetic data, and the ChartVoyant name and logo, and all rights in them.
  • (b) Your license. While your key is valid and you follow these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Sandbox only to evaluate it and to develop and test integrations with ChartVoyant. No other right is granted, and all other rights are reserved.
  • (c) Yours. You keep the rights to your own code. You may not use our marks to suggest endorsement or partnership without our written permission.

12. FEEDBACK

If you send us suggestions, bug reports or ideas, we may use them freely, without payment or obligation to you. Do not send us anything you consider confidential.

13. CONFIDENTIALITY

Some documentation, endpoints, tools or information we share with you may be non-public, either marked confidential or obviously confidential from its nature. Keep it confidential, use it only for the purpose in section 11(b), and do not share it with anyone else without our written permission. This does not cover information that is public through no fault of yours, that you already lawfully had, or that you develop independently.

14. TERM, TERMINATION AND SURVIVAL

These Terms apply from the moment you accept them until your last sandbox key expires or is revoked. You may stop using the Sandbox at any time. We may end these Terms or your access under section 8. When access ends, stop using the Sandbox and delete any key you hold. Sections 3, 7, 9, and 11 through 22 survive.

15. DISCLAIMERS

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SANDBOX IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. THIS INCLUDES MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY THAT IT WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE. SYNTHETIC DATA IS FICTIONAL AND MAY BE CLINICALLY UNREALISTIC. WE MAKE NO REPRESENTATION ABOUT ANY AI AGENT, MCP CLIENT OR MODEL PROVIDER YOU CONNECT.

16. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW:

  • (a) WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SANDBOX OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY;
  • (b) OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SANDBOX OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE FEES YOU PAID US FOR THE SANDBOX IN THE 12 MONTHS BEFORE THE CLAIM (CURRENTLY $0).

Nothing in these Terms limits liability that cannot be limited by law.

17. MOVING TO PRODUCTION

Nothing from the Sandbox carries over to production: no keys, no data, no limits. A production key requires all of the following:

  • (a) a signed ChartVoyant API Use Agreement (CV-API-001), executed by an authorized representative of your organization and countersigned by us;
  • (b) a sponsoring medical practice that approves the integration in writing;
  • (c) a business associate agreement between you and that practice, and any other BAAs the API Use Agreement requires (including for AI model providers);
  • (d) our review and approval.

Request production access at support@chartvoyant.com.

18. INDEMNITY

You will defend, indemnify and hold harmless Geach Technologies, LLC and its members, managers, employees and contractors from any claim, loss, liability, fine or expense (including reasonable attorneys’ fees) arising from:

  • (a) your use or misuse of the Sandbox or your key;
  • (b) your breach of these Terms;
  • (c) any real PHI or PII you or your systems put into the Sandbox; or
  • (d) your violation of law or of anyone’s rights.

19. EXPORT AND SANCTIONS

You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions, and that you are not on, or owned or controlled by anyone on, a U.S. government restricted-party list (including OFAC’s SDN List and the Commerce Department’s Entity List). You will not export, re-export or use the Sandbox in violation of U.S. export control or sanctions laws.

20. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. You and we consent to the exclusive jurisdiction and venue of the state courts located in Hamilton County, Tennessee, and the United States District Court for the Eastern District of Tennessee, Chattanooga Division.

21. CHANGES TO THESE TERMS

We may update these Terms by posting a new version with a new effective date at chartvoyant.com/developers. Changes apply to keys issued or used after posting. If a change is material, we will also email the address on your sign-up where practical. If you do not agree, stop using the Sandbox.

22. NOTICES AND GENERAL

Notices to us: Geach Technologies, LLC d/b/a ChartVoyant, support@chartvoyant.com, (855) 686-9268. A mailing address is available on request.

Notices to you: the email address on your sign-up.

These Terms, together with the Privacy Policy and the API key usage policy on chartvoyant.com/developers (to the extent it is stated to apply to sandbox keys), are the entire agreement about the Sandbox. If any part is unenforceable, the rest stays in effect. A failure to enforce is not a waiver. You may not assign these Terms. We may assign them to an affiliate or a successor.
